Terms of Service

1. Agreement

Yard Ledger (“Yard Ledger”, “we”, “us”) provides a software service for motor vehicle yards to track vehicles, costs, debtors and hire-purchase instalments, and to send balance reminders by SMS (the “Service”). These terms form an agreement between you — the yard or business using the Service — and us. If you use the Service on behalf of your business, you confirm you are authorised to accept these terms for it.

2. The Service

The Service is delivered as a web application used from a phone, tablet or computer, and may be installed to a home screen. We may improve, change or add to the Service over time. We will not reduce the core features of a paid plan during a billing period without telling you.

3. Accounts, roles and security

• You are responsible for the accuracy of the account details you provide.
• You control the roles and permissions of the people you add to your yard, and you are responsible for what they do under those roles.
• Keep your password and any screen PIN private. Tell us promptly if you believe an account has been accessed without authority.

4. Acceptable use

You agree not to:

• Use the Service for anything unlawful, or to send messages to people who have not agreed to receive them;
• Attempt to access another yard’s data, breach the Service’s security, or interfere with its normal operation;
• Resell or sublicense the Service without our written agreement;
• Upload content you do not have the right to store.

5. Your data and ownership

Your vehicle records, debtor books, agreements and other business data remain yours. We store and process them on your instructions, as described in our Privacy Policy. Data is isolated per yard using database-level Row-Level Security. You can export your records at any time, and deleting a yard or account begins the 30-day purge described in the Privacy Policy.

6. SMS reminders

• Each yard includes 200 SMS reminders a month at no extra charge, resetting at the start of each calendar month.
• The number of reminders used and remaining is shown before you send, and every message is recorded in a dated log.
• You are responsible for the accuracy of debtor numbers and for having a lawful basis to contact the people you send reminders to.

7. Fees and billing

• Yard Ledger is free while it is in beta. When the beta ends, the Regular plan is KSh 5,000 per month for one yard, with no setup fee and no long contract.
• There is no per-seat charge. The price covers your whole team, however many people you add.
• Groups running more than one yard are priced individually; contact us through the contact page.
• We will give reasonable notice before charging begins, and you may stop using the Service at any time.

8. Availability and support

We work to keep the Service available and to back it up nightly to storage kept off-site. We do not promise uninterrupted availability. Support is available at [email protected].

9. Intellectual property

The Service, including its software, design and content, belongs to us and our licensors. These terms do not transfer any of that ownership to you; your own business data remains yours.

10. Disclaimers

The Service helps you record and understand your business finances. It is not legal, tax or accounting advice, and you remain responsible for your own statutory filings and decisions. The Service is provided “as is” to the extent permitted by law.

11. Limitation of liability

To the extent permitted by Kenyan law, we are not liable for indirect or consequential losses, loss of profit, or loss of data arising from your use of the Service. Nothing in these terms limits liability that cannot lawfully be limited.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or end access if these terms are materially breached, or if we are required to by law. On termination, the data-handling and purge provisions in the Privacy Policy apply.

13. Changes to these terms

We may update these terms from time to time. If a change is significant, we will make it clear in the app or by email before it takes effect. Continuing to use the Service means you accept the updated terms.

14. Governing law

These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction over any dispute arising from them.
